TERMS OF SERVICE

IMPORTANT NOTICE

THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION CLAUSE AND A CLASS ACTION WAIVER THAT WAIVES YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION. PLEASE REVIEW THIS DOCUMENT IN ITS ENTIRETY BEFORE USING THE PLATFORM.

THESE TERMS GOVERN YOUR SUBSCRIPTION TO AND USE OF THE PROP DNA ASSISTANT CRM PLATFORM AND SERVICES. BY CREATING AN ACCOUNT OR ACCESSING THE PLATFORM, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, AND CONSENTED TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.

These Terms of Service (“Terms”) form a legally binding agreement between you (“you”, “user”, or “Customer”) and PropDNA.ai, a division of PropDNA LLC, and its subsidiaries, affiliates, officers, and assigns (“PropDNA”, “we”, “us”, or “our”).

By using the PropDNA Assistant CRM platform (the “Platform”), including associated websites, APIs, AI tools, automation features, and integrations (collectively, the “Services”), you confirm that:

You are of legal age and authorized to enter into this Agreement.

All information provided during registration is accurate and complete.

You have the authority to bind your organization to this Agreement if registering on its behalf.

PropDNA.ai reserves the right to update these Terms at any time. Updates become effective immediately upon posting. Continued use of the Platform after updates means you accept the revised Terms.

1. Use of the Platform

Eligibility

You must be at least 18 years old to use the Platform. By registering, you confirm you meet this requirement.

Account Ownership

The individual or entity registering for the Platform owns the account.

If registered on behalf of a company, that entity is the account owner.

In the event of a dispute, PropDNA may request verification documents (such as company registration, payment ownership, etc.) to determine rightful ownership.

PropDNA’s decision on account ownership will be final.

Permitted Use

You may use the Platform only for lawful business purposes. You agree not to:

Access the Platform to compete with PropDNA.

Reverse-engineer, copy, modify, or reproduce Platform components.

Remove copyright or proprietary notices.

Use the Platform to transmit unlawful, harassing, misleading, or spam communications.

Compliance

You are solely responsible for compliance with all applicable laws and regulations, including but not limited to:

U.S. data privacy laws (CCPA, CPRA, VCDPA, etc.)

General Data Protection Regulation (GDPR)

HIPAA (if applicable)

CAN-SPAM Act and TCPA (for marketing communications)

Accessibility and consumer protection laws

PropDNA provides technology tools only. You are responsible for ensuring that your use of the Platform complies with all laws relevant to your jurisdiction and industry.

Privacy

By using the Platform, you consent to our Privacy Policy, available at PropDNA.ai/legal/privacy.
You agree that PropDNA may process, store, and use your information in accordance with this policy.

Customer Data Responsibilities

You are responsible for all information you or your customers upload or process within the Platform.
You must:

Implement your own Terms of Service and Privacy Policy for your customers.

Obtain consent for all personal data processed.

Respond to and fulfill all data subject access, correction, or deletion requests in accordance with privacy laws.

Maintain appropriate retention and deletion procedures for your customer data.

PropDNA acts as a Data Processor for your customer data and as a Data Controller for your account and billing information.

2. Platform Conduct and Restrictions

You agree to:

Use the Platform only for its intended purpose.

Ensure your team and clients comply with these Terms.

Maintain all licenses and consents necessary for your business.

Not misrepresent the Platform’s features or PropDNA’s brand.

Cooperate with regulatory or legal requests.

PropDNA reserves the right to suspend or terminate accounts for suspicious, unlawful, or abusive activity.

3. Security and Access

You are responsible for maintaining the confidentiality of your login credentials.
You agree to:

Enable two-factor authentication (2FA).

Notify PropDNA immediately of unauthorized account access.

Be fully liable for all activities under your account.

PropDNA is not responsible for damages resulting from your failure to secure login details.

4. Third-Party Services and Integrations

The Platform integrates with third-party tools (such as Google Workspace, Make.com, or OpenAI).

You are responsible for reviewing and complying with those services’ terms and privacy policies.

PropDNA is not liable for the actions, data handling, or reliability of any third-party service.

By enabling integrations, you authorize PropDNA to share necessary data with such services.

5. Communication and Marketing Compliance

You are solely responsible for all communications (SMS, email, voice, chat) sent through the Platform.
You must comply with:

TCPA and CAN-SPAM Act (for U.S. users)

GDPR and CASL (for EU/Canada users)

All Do-Not-Call (DNC) regulations and carrier rules

PropDNA provides communication tools but does not control message content or recipients. You are deemed the “sender” for all legal purposes.

Failure to comply may result in account suspension or termination.

6. Fair Use and Trial Policy

PropDNA may offer unlimited or trial-based access subject to a Fair Use Policy.
You may not:

Abuse unlimited plans by creating excessive sub-accounts or automations.

Use back-to-back free trials to avoid payment.

PropDNA reserves the right to throttle, pause, or terminate accounts violating fair use limits.

7. Payments and Subscriptions

Fees

You agree to pay all applicable subscription fees, add-on charges, and usage-based costs.
Fees are billed in advance and non-refundable unless required by law.

Auto-Renewal

Subscriptions renew automatically unless canceled prior to the next billing cycle.

Late Payments

If a payment fails, PropDNA may attempt re-billing or suspend your account until the balance is cleared.

Cancellations

You may cancel anytime through your account or by contacting [email protected].
No refunds are issued for partial periods or unused time.

Taxes

All fees exclude applicable taxes, which you are responsible for remitting under local law.

8. Intellectual Property

Ownership

The Platform, software, trademarks, and related materials are owned by PropDNA LLC or its licensors.
Your use of the Platform grants you a limited, non-exclusive, non-transferable license — no ownership rights are transferred.

User Content

By uploading content to the Platform, you grant PropDNA a non-exclusive, worldwide license to use it only as necessary to operate and improve the service.

You must not upload content that:

Infringes intellectual property rights;

Is unlawful, defamatory, or obscene; or

Violates data protection laws.

9. White Labeling & Branding

If you are authorized to white-label PropDNA CRM under your own brand:

You may use your logo and colors within your workspace.

You must not misrepresent your brand as PropDNA’s affiliate or employee.

PropDNA may revoke white-label rights if branding misleads users or violates law.

You may not sell lifetime access or advertise pricing below PropDNA’s base rate without prior written consent.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

PROP DNA ASSISTANT CRM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND.

PROP DNA DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS, AND NON-INFRINGEMENT.

YOU USE THE PLATFORM AT YOUR OWN RISK.

PropDNA will not be liable for:

Data loss or security breaches caused by you or third parties;

Service downtime or integration issues;

Lost profits, indirect, or consequential damages.

Total liability under any claim will not exceed the amount paid by you during the three (3) months preceding the event giving rise to liability.

11. Indemnification

You agree to indemnify, defend, and hold harmless PropDNA LLC, its officers, and affiliates from all claims, damages, and expenses arising from:

Your or your customers’ use of the Platform;

Data or privacy violations;

Violations of these Terms; or

Unauthorized use of AI or communications features.

12. Term and Termination

These Terms remain in effect until your account is terminated.

PropDNA may suspend or terminate your account if:

Payments fail repeatedly;

You breach these Terms;

Your use violates law or harms PropDNA’s reputation.

Upon termination:

Access to your data will cease.

PropDNA may retain data for 90 days for reactivation, after which it may be deleted permanently.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Any disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA) in Dallas, Texas.

All disputes must be brought individually — you waive participation in any class action or collective proceeding.

14. Force Majeure

PropDNA shall not be liable for delays or failures due to circumstances beyond its control, including natural disasters, internet outages, cyberattacks, or government actions.

15. Notices and Contact

All communications under these Terms must be made in writing to:

PropDNA may contact you via the primary email address associated with your account for official notices.

16. Entire Agreement

These Terms, together with the Privacy Policy and any other applicable policies referenced herein, constitute the complete agreement between you and PropDNA.ai and supersede all prior agreements.

EXHIBIT A — CODE OF CONDUCT

You may not use the Platform to:

Violate any laws or regulations

Transmit spam, malware, or deceptive marketing

Engage in hate speech, harassment, or abuse

Post explicit, fraudulent, or illegal content

Attack or disrupt the Platform infrastructure

Use the Platform for gambling, weapons, scams, or prohibited industries

Impersonate PropDNA, its team, or any other person

Violations may result in suspension or permanent termination of your account.

EXHIBIT B — AI ACCEPTABLE USE POLICY

PropDNA Assistant CRM offers AI-powered tools for pitch decks, communication, and document generation.

Disclaimers

AI-generated content may be inaccurate, incomplete, or outdated.

It does not constitute legal, financial, or professional advice.

You must review and edit AI output before using or publishing.

Prohibited AI Uses

Generating harmful, hateful, or misleading content

Using AI for discrimination or unauthorized decision-making

Processing sensitive personal or medical data

Violating any laws or third-party intellectual property rights

Indemnification

You agree to indemnify PropDNA LLC from any claims or liabilities resulting from your use or misuse of AI-generated content.
